Introduction

These Website Terms of Service ("Terms") govern your access to and use of the public-facing websites operated by Grumbleo Corporation ("Grumbleo", "we", "our", or "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Use of the Site

You may use the Site to learn about our services, request information, and evaluate Grumbleo. You may not use the Site for illegal purposes, attempt unauthorized access, or interfere with security or functionality.

Accounts

If you create an account, you are responsible for maintaining the confidentiality of your credentials and ensuring only authorized users access your account.

Business Data Responsibility

If you are a business customer submitting complaint data, you represent and warrant that you have the legal right to collect, provide, and process such information through the Service.

Grumbleo may employ automated and manual measures to screen for obvious fraud, abuse, or technical irregularities, but Grumbleo does not verify consumer identity, the factual accuracy of any complaint, or the authenticity of the information submitted.

All responsibility for obtaining lawful consent, ensuring accuracy, and validating the authenticity of complaint data rests solely with the business customer.

1. Acceptance of Terms

By accessing or using the Grumbleo website, platform, or services ("Service"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Service on behalf of a business entity, you confirm that you have the authority to bind that entity.

You may not use the Service if you are under 16 years old.

2. Description of Service

Grumbleo provides software tools that allow businesses to intake, manage, and analyze customer complaints, and generate AI-assisted insights and workflow recommendations.

Features may change, improve, or be discontinued without notice.

3. Account Registration & Security

You may be required to create an account to access the Service. You agree to:

  • Provide accurate registration information
  • Maintain confidentiality of login credentials
  • Not share your account access
  • Notify us immediately of unauthorized access

Grumbleo is not responsible for loss or damage from your failure to secure your account.

4. User Responsibilities

You agree not to use the Service to:

  • Upload unlawful, defamatory, fraudulent, or harmful content
  • Upload personal data you are not legally permitted to share
  • Upload sensitive data (financial, medical, minors' data, biometrics) unless expressly authorized
  • Impersonate another person or entity
  • Reverse-engineer, scrape, or bypass platform security
  • Interfere with or disrupt system performance
  • Use automated tools to access the Service without permission

You are responsible for verifying the accuracy and legality of all Complaint Data you submit.

5. Complaint Data & Customer Data

Businesses retain ownership of the data they submit ("Complaint Data").

By using the Service, you grant Grumbleo a non-exclusive, worldwide, royalty-free license to:

  • Store, process, display, and transmit Complaint Data
  • Derive anonymized or aggregated insights
  • Improve AI models and system intelligence (with non-identifiable data)
  • Provide customer support
  • Comply with legal obligations

Grumbleo does not sell or rent personal information.

6. Data Controller / Processor Roles

For Complaint Data:

  • Business Customer = Data Controller
  • Grumbleo = Data Processor

We process Complaint Data only as instructed by the Business Customer.

A Data Processing Addendum (DPA) is available upon request.

7. AI-Assisted Output

Grumbleo may provide automated or AI-generated:

  • Suggested responses
  • Summaries
  • Pattern detection
  • Recommended workflows or actions

These outputs are advisory only.

Your business is solely responsible for:

  • Reviewing and approving all final communications
  • Verifying facts before taking action
  • Complying with employment, HR, legal, and regulatory requirements

Grumbleo is not liable for decisions made based on AI Output.

8. Third-Party Integrations

The Service may integrate with third-party systems including CRM, POS, email, or cloud tools.

Grumbleo is not responsible for:

  • Third-party outages
  • Data errors originating from external systems
  • Security practices of external providers

You are responsible for managing any API keys or integration settings.

9. Fees and Payment (If Applicable)

If you purchase a paid plan:

  • Fees are billed according to your subscription terms
  • All fees are non-refundable unless required by law
  • Taxes may apply
  • Prices may change with notice

Nonpayment may result in suspension or termination of access.

10. Service Availability

We strive for consistent uptime but do not guarantee:

  • Error-free operation
  • Uninterrupted access
  • Preservation of data without interruption

Maintenance, outages, or upgrades may occur.

11. Termination

Grumbleo may suspend or terminate your access if:

  • You violate these Terms
  • You engage in fraudulent or unlawful behavior
  • You cause harm to the platform or other users

Upon termination:

  • Your access to the Service stops
  • Your data may be deleted after a reasonable period
  • Grumbleo may retain anonymized or aggregated data indefinitely

You may terminate at any time by ceasing use of the Service.

12. Intellectual Property

All software, code, workflows, branding, AI systems, analytics, and platform content are owned by Grumbleo and protected by copyright, trademark, and other IP laws.

You receive a limited, non-exclusive, revocable license to access the Service for business use only.

No rights are granted beyond what is explicitly stated.

13. DMCA Policy (Required by Law)

If you believe content submitted by a user infringes your copyright, send a notice to:

We may remove or disable access to allegedly infringing material.

14. Indemnification

You agree to defend, indemnify, and hold harmless Grumbleo and its affiliates from claims, damages, liabilities, and expenses arising from:

  • Your content or Complaint Data
  • Any violation of these Terms
  • Your breach of privacy or data-handling obligations

This clause is critical for protecting the platform.

15. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE."

We disclaim all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy of AI outputs
  • Non-infringement
  • Reliability, availability, or error-free operation

You use the Service at your own risk.

16. Limitation of Liability

To the fullest extent permitted by law:

  • Grumbleo is not liable for indirect, incidental, special, punitive, or consequential damages
  • This includes lost revenue, lost data, lost business opportunities, or service interruptions

Grumbleo's total liability shall not exceed the amount you paid in the last 12 months or $100, whichever is greater.

17. Arbitration & Class Action Waiver

Any dispute arising from these Terms will be resolved through binding arbitration in Broward County, Florida.

You waive:

  • The right to a jury trial
  • The right to participate in class actions or class arbitration

This significantly reduces litigation risk.

18. Modifications to the Terms

We may update these Terms at any time.

We will notify users of material changes.

Continued use of the Service constitutes acceptance of the updated Terms.

19. Severability, Waiver, and Entire Agreement

  • If any part of these Terms is invalid, the remainder remains in effect.
  • Failure to enforce a provision is not a waiver.
  • These Terms constitute the entire agreement between you and Grumbleo.

20. Governing Law

These Terms are governed by the laws of the State of Florida.

Any permitted legal actions shall be brought exclusively in Florida state or federal courts.
